Important customer notice — please read before purchasing a ticket

Tixstar is a ticketing platform and is generally not the event organiser.

The event organiser is responsible for the event, including its organisation, venue, performers, safety, content, cancellation and postponement.

By purchasing a ticket, you acknowledge that you are purchasing access to an event organised by the relevant Event Organiser and that, subject to applicable law, attendance and participation are at your own risk.

Tickets are generally non-refundable, except where a refund is provided by the Event Organiser, Tixstar, applicable law, or where the event is cancelled or another legally applicable refund right arises.

Please check all event details carefully before completing your purchase.

1. Introduction

These Terms and Conditions ("Terms") govern the use of the Tixstar ticketing platform and website operated through www.tixstar.co.za ("Website", "Platform", "Tixstar", "we", "us" or "our").

Tixstar provides an online ticketing and event-support platform through which customers may purchase tickets for events and through which event organisers, promoters, companies, organisations, charities and other entities ("Event Organisers") may advertise, promote, manage and sell tickets to their events.

By accessing the Website, purchasing a ticket, creating an account, submitting an event, or otherwise using Tixstar, you agree to be bound by these Terms and any additional terms displayed in connection with a particular event or transaction.

If you do not agree with these Terms, you should not use the Website or purchase tickets through Tixstar.

2. Important notice — Tixstar is not the event organiser

Tixstar is a ticketing and technology service provider and is not the organiser, promoter, producer or owner of the events listed on the Platform unless expressly stated otherwise.

The event itself is the responsibility of the relevant Event Organiser. The Event Organiser is solely responsible for:

  • planning and organising the event;
  • the venue;
  • entertainment, performers and speakers;
  • event dates and times;
  • event safety and security;
  • permits, licences and regulatory requirements;
  • staffing and event management;
  • the accuracy of event information;
  • admission requirements;
  • age restrictions;
  • changes to the event;
  • cancellations or postponements;
  • refunds arising from the cancellation or postponement of the event, subject to these Terms and applicable law;
  • compliance with applicable laws and regulations; and
  • any goods or services promised to ticket holders in connection with the event.

Tixstar does not own, control or operate the events listed on the Platform unless expressly stated otherwise.

Customers purchase tickets to events at their own discretion and, to the extent permitted by law, attend and participate in events at their own risk.

The fact that an event is listed, advertised or made available for ticket purchase through Tixstar does not constitute a guarantee, endorsement or representation by Tixstar regarding the quality, safety, legality, suitability or performance of the event or Event Organiser.

3. Event organiser responsibility

Event Organisers acknowledge and agree that they are responsible for the events they list on Tixstar.

Event Organisers must ensure that all information supplied to Tixstar is accurate, complete and not misleading.

Event Organisers must obtain and maintain all licences, permissions, permits, insurance and approvals required to lawfully conduct their events.

Tixstar reserves the right to refuse, suspend, remove or cancel an event listing where we reasonably believe that the event, Event Organiser or associated content may violate these Terms, applicable law, the rights of others, or the reputation or operation of Tixstar.

4. Ticket purchases

Tickets purchased through Tixstar are subject to availability.

A ticket purchase is only considered confirmed once payment has been successfully processed and confirmation has been issued by Tixstar or its applicable payment service provider.

Customers are responsible for checking all event details before completing a purchase, including:

  • event name;
  • date;
  • time;
  • venue;
  • ticket type;
  • ticket quantity;
  • age restrictions;
  • seating information, where applicable; and
  • any special conditions attached to the event.

Customers should retain their ticket confirmation and ticket in a safe place and present the required ticket or electronic confirmation when entering the event.

5. Ticket prices and fees

The total amount payable for a ticket will be displayed to the customer before completion of the transaction, where reasonably practicable.

Ticket prices are determined by the relevant Event Organiser unless otherwise stated.

Tixstar may charge service, booking, administration or other applicable fees for providing its ticketing services.

5.1 Tixstar commission

Tixstar charges Event Organisers a 5% commission on ticket sales processed through the Platform, subject to the commercial agreement between Tixstar and the relevant Event Organiser.

Unless expressly agreed otherwise in writing, the Tixstar commission is separate from any applicable taxes, payment processing charges or other agreed charges.

5.2 VAT

Where applicable, VAT will be charged at the prevailing statutory rate. The current standard VAT rate in South Africa is 15%. The applicable rate may change if required by South African tax legislation.

Where VAT is applicable to Tixstar's fees or services, it will be reflected or accounted for in accordance with applicable tax law.

6. Payment processing

Payments may be processed through third-party payment service providers.

Tixstar does not ordinarily store customers' full banking or card details and may rely on third-party payment providers to process transactions securely.

By making a payment, the customer authorises the applicable payment provider to process the transaction.

Tixstar is not responsible for delays, declines, reversals or failures caused by a customer's bank, card issuer, payment provider or other third party, although Tixstar will reasonably assist with transaction-related enquiries.

7. Refunds and cancellations — customer requests

Tickets purchased through Tixstar are generally non-refundable and cannot be exchanged or cancelled at the customer's request, except where:

  • the relevant Event Organiser expressly permits refunds;
  • the event is cancelled or postponed and a refund is made available;
  • Tixstar agrees to a refund in its discretion;
  • a refund is required by applicable law; or
  • another mandatory consumer right applies.

Customers should therefore carefully check the event details before purchasing tickets.

A customer who simply changes their mind, cannot attend, arrives late, purchases the wrong ticket, or is unable to attend for personal reasons will generally not be entitled to a refund, subject always to any rights that cannot lawfully be excluded.

8. Event cancellation

If an Event Organiser cancels an event, the Event Organiser is responsible for the cancellation and for determining the applicable refund process, subject to applicable law and any agreement between the Event Organiser and Tixstar.

Where a cancellation qualifies for a refund, Tixstar may facilitate the refund process on behalf of the Event Organiser.

Tixstar's service fees, booking fees or other applicable charges may be non-refundable where permitted by law and may be deducted from amounts otherwise available for refund.

The Event Organiser may also be liable to Tixstar for applicable service fees, commissions, payment processing costs and other charges arising from the cancellation.

The precise refund amount and process may therefore depend on:

  • the circumstances of the cancellation;
  • the Event Organiser's refund policy;
  • applicable consumer-protection legislation;
  • payment-processing charges;
  • Tixstar's applicable fees; and
  • any other applicable terms communicated at the time of purchase.

9. Event postponement or change

An Event Organiser may, where circumstances require, change the event date, time, venue, performers, programme or other event details.

Tixstar will endeavour to communicate material changes to customers using the contact information supplied during the ticket purchase process.

Unless applicable law requires otherwise, a change to an event does not automatically entitle a customer to a refund.

Where an Event Organiser provides a refund option following a material change, customers must follow the instructions and deadlines communicated for requesting such refund.

10. Event cancellation due to unforeseen circumstances

Events may be affected by circumstances beyond the reasonable control of Tixstar or the Event Organiser, including severe weather, natural disasters, government restrictions, public emergencies, venue closures, civil unrest, strikes, security concerns, acts of terrorism, infrastructure failures, or other force majeure events.

Where an event is cancelled, postponed or materially changed because of such circumstances, the applicable refund or alternative arrangement will be determined by the Event Organiser in accordance with applicable law and these Terms.

11. No guarantee of event quality or safety

Tixstar does not guarantee that an event will meet a customer's expectations.

Tixstar does not guarantee the conduct, performance, safety, quality, legality or suitability of any Event Organiser, performer, venue, sponsor, fundraiser, charity or other participant connected with an event.

Customers should make their own enquiries and decisions regarding whether an event is suitable for them.

Attendance at any event is at the customer's own risk, to the maximum extent permitted by law.

12. Liability of Tixstar

To the maximum extent permitted by applicable law, Tixstar will not be responsible for losses, damages, injuries, expenses, disappointment or other claims arising from:

  • cancellation, postponement or alteration of an event;
  • the conduct or failure of an Event Organiser;
  • the acts or omissions of performers, venues, staff, contractors or other event participants;
  • event safety or security;
  • inaccurate information supplied by an Event Organiser;
  • failure of an Event Organiser to provide goods or services advertised;
  • travel, accommodation or other expenses incurred by a customer;
  • lost, stolen or damaged personal property at an event;
  • a customer's failure to comply with venue or event rules;
  • inability to attend an event; or
  • any other matter relating primarily to the event itself rather than Tixstar's ticketing services.

Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited under applicable law.

13. Event organiser indemnity

To the maximum extent permitted by law, Event Organisers agree to indemnify and hold Tixstar, its owners, employees, representatives, contractors and service providers harmless against claims, losses, liabilities, damages, costs and expenses arising from or connected with:

  • the Event Organiser's event;
  • cancellation or postponement of the event;
  • the Event Organiser's breach of these Terms;
  • inaccurate or misleading event information;
  • injuries, losses or damages arising at or in connection with the event;
  • unlawful conduct;
  • infringement of third-party rights;
  • failure to obtain required permits, licences or approvals; or
  • claims by ticket purchasers relating to the Event Organiser's goods, services or event.

14. Fundraising events and organisations

Tixstar may provide ticketing services to charities, non-profit organisations, schools, companies, community organisations, fundraising groups and other organisations.

Tixstar acts as a ticketing/service platform and does not guarantee that any organisation is a registered charity, non-profit organisation or other legally recognised entity unless expressly stated.

Event Organisers are solely responsible for:

  • the legitimacy and purpose of their fundraising activities;
  • obtaining any registrations, approvals or permissions required by law;
  • accurately representing how funds will be used;
  • issuing any required donation receipts;
  • complying with tax requirements; and
  • ensuring that all fundraising statements and representations are truthful and lawful.

Customers who purchase tickets to fundraising events should understand that Tixstar is providing a ticketing service and does not necessarily receive or control the funds raised for the fundraising organisation.

15. Customer account information

Customers are responsible for ensuring that information supplied to Tixstar is accurate and current.

Customers must keep login credentials confidential and should immediately notify Tixstar if they suspect unauthorised access to their account.

Tixstar reserves the right to suspend or terminate accounts where misuse, fraud, unlawful activity or a breach of these Terms is suspected.

16. Fraudulent or unauthorised transactions

Tixstar reserves the right to investigate transactions that appear fraudulent, suspicious or unauthorised.

Where a transaction is reversed, charged back or disputed, Tixstar may suspend the associated account or ticket while the matter is investigated.

Tickets obtained through fraud, deception, unauthorised payment or other unlawful means may be cancelled without compensation, subject to applicable law.

17. Ticket transfer and resale

Unless expressly permitted by the Event Organiser, tickets may not be resold for commercial gain or transferred in a manner that breaches the conditions of the event.

Tixstar is not responsible for tickets purchased from unauthorised third parties.

Customers should only purchase tickets through authorised Tixstar channels or other channels expressly authorised by the Event Organiser.

18. Website availability

Tixstar will endeavour to keep the Website available and operational but does not guarantee uninterrupted or error-free access.

The Website may occasionally be unavailable because of maintenance, upgrades, technical problems, telecommunications failures, cyber incidents or circumstances beyond Tixstar's reasonable control.

19. Website content

Tixstar may display information, photographs, logos, descriptions, videos and other content supplied by Event Organisers or third parties.

Tixstar does not guarantee that such information is complete, accurate or current and may rely on Event Organisers to provide and update event information.

Event Organisers remain responsible for the content they submit.

20. Intellectual property

All intellectual property rights relating to the Tixstar platform, Website, branding, software, designs, logos, text and other Tixstar-owned materials remain the property of Tixstar or its applicable licensors.

No person may reproduce, modify, distribute or commercially exploit Tixstar-owned content without prior written permission, except where permitted by law.

Event Organisers grant Tixstar permission to use event names, logos, photographs, descriptions and promotional materials supplied to Tixstar for purposes reasonably connected with providing and promoting the ticketing service.

21. Privacy and personal information

Tixstar may collect and process personal information necessary to operate the Website, process ticket purchases, communicate with customers, provide customer support, prevent fraud and provide services to Event Organisers.

Tixstar will process personal information in accordance with applicable South African privacy and data-protection legislation and its applicable Privacy Policy.

Customers and Event Organisers should review the Tixstar Privacy Policy for further information regarding the collection, use, storage and protection of personal information.

22. Complaints and customer support

Any complaint concerning a ticket purchase, event listing, transaction or Tixstar service should be submitted to: gm@tixstar.co.za

Customers should include:

  • their full name;
  • order or booking reference;
  • event name;
  • date of transaction;
  • details of the complaint; and
  • any supporting documentation.

Tixstar will endeavour to investigate complaints and respond within a reasonable period.

Where a complaint concerns the event itself, Tixstar may refer the complaint to the relevant Event Organiser because the Event Organiser is responsible for the event.

23. Third-party services

Tixstar may use third-party service providers, including payment processors, hosting providers, communication providers, analytics providers and technology partners.

Tixstar is not responsible for failures caused solely by third-party providers, although we will take reasonable steps to address service-related problems.

24. Prohibited use

Users may not use Tixstar to:

  • commit fraud;
  • conduct unlawful activities;
  • impersonate another person or organisation;
  • upload misleading or fraudulent event information;
  • interfere with the operation of the Website;
  • introduce malicious software or code;
  • gain unauthorised access to systems or accounts;
  • infringe intellectual-property rights; or
  • otherwise misuse the Platform.

25. Termination

Tixstar may suspend or terminate access to the Website or an account where a user breaches these Terms, engages in fraudulent or unlawful activity, or creates a risk to Tixstar, its users or third parties.

Termination does not affect rights or obligations that arose before termination.

26. Changes to these terms

Tixstar may amend these Terms from time to time.

The updated Terms will be posted on the Website and will apply from the effective date stated in the updated version.

Where required by law, material changes will be communicated to affected users.

27. Governing law

These Terms are governed by the laws of the Republic of South Africa.

Any dispute concerning these Terms will be dealt with in accordance with applicable South African law and the jurisdiction of the appropriate South African courts or other applicable dispute-resolution forum.

Nothing in these Terms is intended to deprive a consumer of a right or remedy that cannot lawfully be excluded under applicable South African legislation.

28. Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be severed or limited to the minimum extent necessary, and the remaining provisions will continue to apply.

29. Entire agreement

These Terms, together with any applicable event-specific terms, Privacy Policy, payment terms and other policies displayed on the Website, constitute the agreement between the user and Tixstar concerning the use of the Platform, except where a separate written agreement applies.
